Real Estate Manager

Opportunity

Adapture Renewables, Inc. is an expert in developing, financing, engineering, building, and operating utility-scale photovoltaic systems. Drawing upon an extensive knowledge base, we realize projects with speed, flexibility, and high quality. Our Business Development team is looking for a talented Real Estate Manager to help support the efforts of our fast-growing company. The position will be based in our Oakland, California office. Adapture Renewables, Inc. is a subsidiary of the Danish KIRKBI Group.

Overview

This position will work within our Business Development team, managing all aspects of the company’s efforts to diligence and prepare the real property component of utility-scale solar and storage projects for development and financing.

Core Responsibilities

  • Negotiate and secure additional site control and/or any needed rights of way and easements, including those required for interconnection of projects to the existing electric grid.
  • Review title reports, land surveys, mineral estate reports and other documentation to identify and cure any encumbrances necessary for development and financing of utility-scale solar farms.
  • Coordinate the Business Development team’s review and due diligence of real estate and title matters as it relates to late-stage or construction-ready solar farms.
  • Lead all of company’s surveying efforts with external consultants in support of development, construction and financing.
  • Support all efforts necessary for underwriting and issuance of title insurance.
  • Support the permitting, interconnection and design aspects of the development and construction processes.
  • Lead/support all aspects of executing solar and/or storage site lease and purchase options.
  • Prepare real and personal property tax assumptions for financial modeling and lead any property tax incentives or abatements with local jurisdictions/taxing districts.
  • Ensure real estate contract compliance and maintain direct communications with landowners, utilities, attorneys, surveyors and any third parties holding interests in land.

Qualifications and Experience

  • In-house expert, able to exercise independent judgment in real estate matters and independently identify and resolve all real estate and title-related issues.
  • Independently track, organize and prioritize workload schedule and complete according to project schedules.
  • Minimum of 3 years of related real estate land acquisition and title experience.
  • Experience with mineral rights and acquisition of mineral rights or waivers.
  • Ability to review, interpret and comment on land surveys.
  • Demonstrated experience in curing land title deficiencies and leading or supporting efforts for title insurance underwriting and policy issuance.
  • Experience tracking contractual obligations under all real estate agreements.
  • Job duties will involve occasional travel.

Compliance Manager

Our Asset Management team is looking for a talented Compliance Manager to help support the efforts of our fast-growing company. The position will be based in our Oakland, California office. Overview

This position will work in our Asset Management team and play a vital role in overseeing the financial and regulatory obligations of Adapture Renewables’ solar assets across the U.S., ensuring financial covenants are fulfilled and regulatory commitments are met. As the go-to person for all compliance matters, this person will coordinate closely with the Project Finance and Accounting teams and will be the primary interface between the Asset Management team and its project financing partners, federal and local agencies, and offtaking utilities. The Compliance Manager is key in maintaining the balance between corporate and project entity interests, so a high degree of intuition and reasoned judgment is essential.

Core Responsibilities

  • This position is within our Asset Management team and plays a vital role in overseeing the financial and regulatory obligations of Adapture Renewables’ solar assets across the U.S., ensuring financial covenants are fulfilled and regulatory commitments are met. As the go-to person for all compliance matters, this person will coordinate closely with the Project Finance and Accounting teams and will be the primary interface between the Asset Management team and its project financing partners, federal and local agencies, and offtaking utilities. The Compliance Manager is key in maintaining the balance between corporate and project entity interests, so a high degree of intuition and reasoned judgment is essential.
  • With feedback from Project Finance, formulate and create accurate budget tracking processes and models as new portfolios and financing structures are adopted
  • Prepare and submit scheduled (and unscheduled if needed) draw/transfer requests as stated in the finance documents
  • Work with Asset Management, Project Finance, Legal, and Accounting to ensure finance document covenants are fulfilled in a timely and accurate fashion by sourcing and submitting operating reports, financials, officer’s certificates, and any necessary consents or waivers
  • Communicate with regulatory agencies and Adapture Renewables’ finance partners to field inquiries and requests
  • Work with the Accounting team to ensure revenue is received and expenses are paid in accordance with contract terms
  • Fulfill regulatory filing obligations, both initial and ongoing – includes EIA, WREGIS, FERC/NERC, and any state or local regulatory requirements
  • Complete both the initial and ongoing annual property tax filings
  • Contribute to the continued improvement of Asset Management policies and procedures with the aim of efficiency, timeliness, and accuracy
  • Document the timely completion of all compliance obligations in Adapture Renewables’ asset management platform
  • Provide feedback and recommendations to Adapture Renewables’ preferred asset management platform provider
  • Generate periodic financial performance assessments of operating portfolios as requested by senior management
  • Communicate closely with the Senior O&M Manager and the Finance department to bring substantive issues to light that may require focused attention or supplemental reporting

Qualifications and Experience

  • Minimum of 3-5 years of prior solar asset management experience with an emphasis on financial and regulatory compliance
  • Excellent working knowledge of Excel, Outlook, Word and a thorough understanding of today’s solar finance structures
  • Experience in the transition of projects from construction to long-term financing under various finance structures is a plus
  • Ability to communicate effectively with financial partners, regulatory agencies and regional utilities
  • Deep understanding of finance documents and operating contracts, with a strong ability to identify and interpret relevant clauses as needed
  • Excellent written and verbal communication skills required
  • An ability to adapt to fluctuating workloads is important

Project Finance Analyst

Our Project Finance team is looking for a talented Project Finance Analyst to help support the efforts of our fast-growing company. The position will be based in our Oakland, California office. Overview

This position will work in our Project Finance team and support all of the company’s financing efforts and assist in the creation of financial models for project finance and M&A transactions.

Core Responsibilities

  • Support the development of valuation models to analyze the economic merits and risks associated with new project acquisitions
  • Collaborate with Adapture Renewables’ engineers, developers and accounting professionals to develop appropriate assumptions for project models
  • Update the consolidation file with actuals and monitor long-term cash flows
  • Assist in due diligence processes for project finance and M&A transactions
  • Create and maintain investment memos, investor presentations and project summaries
  • Develop and maintain project finance related intelligence (tax equity terms, property and sales tax information, local subsidies, RECs etc.)
  • Support the Asset Management team with ongoing operating reports and draw requests

Qualifications and Experience

  • Bachelor’s degree in finance, economics or related field
  • At least 1-2 years of experience in finance, banking or power industry
  • Demonstrated ability to work with complex financial models in Excel
  • Experience with tax equity and/or term debt transactions in renewables sector preferred
  • Exceptional analytical and quantitative problem-solving skills
  • Excellent verbal and written communication skills
