Capital Solutions Associate

Description

We are looking for a Capital Solutions Associate to support the growth of our Capital Solutions business, primarily focused on underwriting and financing distributed energy assets. This role will work closely with, and report to, our Chief Investment Officer and be based out of our NY/NJ headquarters. Due to COVID-19, the role will likely involve working remotely, until conditions permit in-person work. Key responsibilities will include:

  • Financial modeling across distributed energy assets, including M&A and project financing
  • Assisting with transaction management including underwriting, due diligence, documentation, third party coordination and other tasks as needed
  • Preparation of pitch books and analytical support, as well as coordination of, and participation in, meetings with financial institutions, investment and commercial banks, tax equity investors and other capital sources active in the renewable energy / distributed energy and electrical infrastructure segments
  • Engaging with internal working groups on ad hoc projects or assignments of a cross-functional nature (e.g. business development, accounting, operations, asset management and portfolio management)
  • Ad hoc financial analysis to support decision making
  • Analysis of market data and maintenance of data sets utilizing proprietary systems or subscription-based services

Requirements

For you to be successful in the role, you should have:

  • A bachelor’s degree in engineering, finance, economics or another relevant quantitative course of study and demonstrated high achievement (GPA, Honors, Awards)
  • Advanced degree not required, but a plus
  • 2-3 years of experience working on investment or corporate banking deal teams in a relevant coverage sector, or sponsor-side corporate finance and project finance experience (renewable energy, a plus)
  • Familiarity with and working knowledge of tax equity and project finance terms and financial modeling concepts
  • Experience building dynamic, discounted cash flow models in Excel to calculate financial returns and risk metrics in support of financing and M&A transactions
  • Experience preparing term sheets and presentations, including confidential information memoranda
  • Knowledge of power purchase agreements and other contractual arrangements intrinsic in renewable energy project financing (and the ability to translate legal documentation into financial modeling concepts) preferred, but not required
  • An ability to break complex problems into their simplest component parts

Commercial Contracts Manager

Description

The Commercial Contracts Manager will support the organization in managing its contract negotiations and obligations pre- and post-contract execution. Responsibilities will include:

  • Manage all standard form agreements and continually propose and incorporate feedback to improve standard agreements;
  • Support commercialization and standardization of new products;
  • Prepare standard form and customized agreements for customers, partners, and vendors as needed to support day-to-day operations;
  • Analyze third party agreements for conformance with SMS’ standard commercial position to identify material inconsistencies
  • Liaise with legal counsel and incorporate counsel’s input as appropriate;
  • Implement version control processes and ensure company-wide training and compliance;
  • Manage signature collections process and timely satisfaction of any approvals or conditions precedent
  • Manage contracts database, including monitoring existing contracts to ensure conformance with budget, deadlines, performance obligations, customer service, and contract renewals/expiration.
  • Ensure company-wide compliance with SMS internal approval processes

Requirements

For you to be successful in the role, you should have:

  • Strong commercial acumen and familiarity with standard commercial agreements
  • Experience preparing power purchase agreements, energy services agreements, M&A transaction agreements, or similar agreements within the distributed energy industry preferred
  • Familiar with the electric industry, with a preference for individuals familiar with the distributed energy industry and regulatory frameworks
  • Detail and process oriented, with a history of improving and standardizing agreements and contract management processes – balancing speed and agility with internal controls and risk management
  • Self-driven, entrepreneurial in nature; willing to step outside of role where needed to support the company’s needs; thrives in fast-paced environment
  • Bachelor’s degree required; law degree preferred; 3-5 years post-grad work experience
